Board of Directors Meeting Minutes
Meeting was called to order by Terry Barnes @ 1015 in the barn of the Tollefson’s.
In Attendance: Terry Barnes-President, Chuck Leon-Director, Mary Jane Woods-Director,Jim Stover-Director, Sharon Leon-Secretary, Tona Mendoza-Treasure
Members in Attendance: Lori Stover
Minutes: Sharon read the minutes with corrections, Jim motioned to accept with corrections the minutes as read. Mary Jane 2nd, all approved
Treasure’s Report: Tona read the report, Mary Jane motioned to accept the report as read, Chuck 2nd, all approved.
Tona also talked about the bills: 1) Lawyer for $280 2) non-profit annual reporting $25.00. Chuck motioned to pay bills, Mary Jane 2nd, all approved
Tona also showed the board the certificate of buy in for lot 67.
Old Business:
Chuck read the letter from the lawyer for Wyrulec’s offer of $8,109.56. Jim offered to write a letter to the 94 members of the power buy in about the offer. Chuck motioned for Jim to write the letter, Mary Jane 2nd, all approved.
Chuck asked Mary Jane to check with Ann Schnelzer (old lawyer) on the letter between the Gosselin’s and herself, as to what was said for sure concerning by-laws and covenants.
Terry talked to Jim Blocker about the roads. He may try and work on them this next week. Also Terry may help Jim do some of the work by running some of the equipment. Jim motioned to table the five year plan for the roads for now and work on what’s needed in the immediate future, Chuck 2nd, all approved.
Tona is still working on talking with a CPA. She will have more information at the next meeting.
New Business:
There was talk about the sign at the front of the ranch. Where is it at and is it being repaired or not.
Laurie Stover said she would research the articles and cc&r’s for us if we liked. Chuck made a motion for her to do this, Mary Jane 2nd, all approved.
Sharon is going to work on finding a place for the annual meeting. Also the proxies for the voting at the meeting.
The board agreed to ask Arnold to do the early spring weed spraying. Then find someone else to handle the weed spraying for the ranch. Terry will check with Arnold and the co-op.
Terry read about a property for sell at the ranch that was divided into 3 parcels. The board wants to know the legality of this, is there dues for each parcel and so forth. Terry is going to call the realtor and ask them about this.
Next meeting is set for 3-15-08 @ 10:00
